THEIES is governed by an elected Board of Trustees which manages the property and affairs of the organisation in accordance with the Royal Charter and Bye-laws. The Board of Trustees is supported by a number of Main Boards and Committees.

Council.

Council is the consultative body which tenders advice to the Board of Trustees and promotes a culture of continuous improvement.

Council has the right and responsibility to:
Advise the Board of Trustees on THEIES's affairs, direction, and strategy.
Represent members' views to the Board.
Represent members' views to the Board.
Council will:
Review and contribute to THEIES's Strategic and Corporate Plans.
Review THEIES's Annual Report and Accounts.
Provide an annual report to the AGM.

The activities of the THEIES are managed by four Main Boards. These are:

These are requirements for the members of Boards and Committees and specific requirements for Council and each Main Board. The constitution of the boards is designed to ensure that, collectively, the members of the board have the full range of knowledge and skills required.

Reporting to the Volunteer Engagement Board is a Communities Resourcing Committee, to which report a number of communities committees:

Boards and Committees follow specific guidelines, with Members upholding high conduct standards for THEIES' governance. Conflicts of interest must be declared. Members can question governance, bring issues for debate, or express personal views. Terms for members: three years, extendable to six for appointees. One-third of members retire annually for turnover. The President serves ex officio on all Boards and Committees.

THEIES Chairs serve terms of 1-3 years. Board of Trustees led by President. Main Boards chaired by appointed Trustees. Trustee-chaired Committees report to Trustees. Main Boards' Committees led by appointed members. Policy and Insight Panels chaired by Policy Oversight Committee appointees. Local Network Chairs appointed or elected. Technical Network Committees choose Chairs.

Election of Trustees and Council Members

Each year the Board of Trustees nominates candidates for election as Trustees and members of Council. Members may also nominate further candidates.

THEIES actively seeks nominations for all positions, with a particular focus on candidates reflecting its diverse global membership, including individuals with disabilities, who are currently under-represented in THEIES governance.

Board of Trustees membership is reserved for Members, Fellows, and Honorary Fellows, who must be registered members or similarly qualified. The Vice President role is exclusively for Fellows and Honorary Fellows, with at least one candidate required to have prior experience as a Trustee, Council member, or Main Board member within the last three years.

Candidates for Ordinary Board of Trustees membership must have served as a Trustee, Council member, or Main Board member within the previous three years. Nominees can be proposed and supported by Members, Fellows, and Honorary Fellows.

Council membership is open to all THEIES categories, including Students and Associates. Candidates can be proposed and supported by any THEIES member.

Candidates interested in Board of Trustees nomination should review the specification for Trustees and Board Members and submit their qualifications to the Chief Executive and Secretary as per Bye-law 69 requirements set by the Board of Trustees.

Vacancies

Candidates proposed by the Board of Trustees for Vice-President and Ordinary Member vacancies on the Board of Trustees are announced in Engineering and Technology (E+T) or Member News magazine. Members have the opportunity, as per Bye-law 69(b), to nominate other qualified individuals for these positions, with details of qualifications and procedures outlined in Bye-laws 69-75.

Additionally, members can nominate candidates for Council and the Communities Resourcing Committee vacancies. Annually, six Council vacancies and one Committee vacancy are available. Membership for both Council and the Committee is open to all THEIES categories. Nominations must adhere to the conditions specified in Bye-law 69(b).
